1. Acceptance of Terms

By downloading, installing, or using the Dearlie iOS application ("Dearlie" or "the App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use Dearlie.

Dearlie is operated by Dearlie Labs, LLC ("we," "us," or "our"). These Terms form a binding agreement between you and Dearlie Labs, LLC.

2. Description of Service

Dearlie is a relationship memory and gifting assistant iOS application. It helps users track people they care about, remember important dates, and discover gift ideas through AI-powered suggestions. Additional information about how Dearlie handles your data is described in our Privacy Policy.

3. Account and Eligibility

Dearlie uses your Apple ID as the basis for identity and purchases. There is no separate account to create. You are responsible for maintaining the security of your Apple ID and device.

You must be at least 13 years old to use Dearlie. By using Dearlie, you represent and warrant that you meet this age requirement. Dearlie is not directed at children under 13. If we become aware that a user is under 13, we will take steps to remove that user's data.

4. Subscription Plans

Dearlie offers the following plans:

Prices are in U.S. dollars and are subject to change. Any price changes will apply only to future billing periods and will be disclosed in advance.

5. Founder Tier

The Founder tier is a one-time purchase providing lifetime access to Dearlie+ features for the purchasing user. "Lifetime" means for as long as Dearlie is actively maintained and distributed through the Apple App Store by Dearlie Labs, LLC or its successors.

What's included: Founder access includes all current Dearlie+ features and future features designated as "Dearlie+" features at the time of their release. Dearlie Labs, LLC reserves the right to introduce new product tiers, add-on services, or features outside the Dearlie+ designation that may not be automatically included in Founder access. Dearlie Labs, LLC also reserves the right to modify, update, or discontinue individual features within the Dearlie+ tier. Founders are entitled to the feature set available to active Dearlie+ subscribers at any given time, not necessarily the feature set as of their original purchase date.

Account binding: Founder access is tied to the Apple ID used for purchase and cannot be transferred, sold, gifted, or assigned to another user. Family Sharing, if enabled in App Store Connect, follows Apple's standard Family Sharing rules for non-renewable purchases.

Discontinuation: If Dearlie is discontinued by Dearlie Labs, LLC, Founder tier access will continue for existing Apple App Store installations until the app is removed from the user's device or the device's operating system no longer supports the app version. No refunds will be provided for discontinuation.

Refunds: Refunds for Founder tier purchases are handled through Apple's standard refund process and subject to Apple's App Store refund policy.

6. Billing and Payments

All purchases — including subscriptions and the Founder tier — are processed by Apple through the App Store and StoreKit. Payment is charged to your Apple ID at the time of purchase confirmation. Dearlie Labs, LLC does not see or store your payment details.

Auto-renewing subscriptions will renew at the end of each billing period at the then-current price unless canceled at least 24 hours before the renewal date. You can manage your subscription through iOS Settings → [your Apple ID] → Subscriptions.

7. Cancellation and Refunds

You may cancel your subscription at any time through iOS Settings. To avoid being charged for the next billing period, cancel at least 24 hours before the renewal date. Cancellation takes effect at the end of the current billing period, and you will retain access until that period ends.

Refund requests are handled by Apple according to the Apple Media Services Terms and Conditions. Dearlie Labs, LLC does not directly process refunds for App Store purchases.

8. Waitlist Promotion — Free Year of Dearlie+

As a limited-time launch promotion, the first one hundred (100) users who sign up for the Dearlie waitlist at dearlie.app will receive one (1) year of complimentary Dearlie+ access upon app launch.

Eligibility: Determined by email signup timestamp. Only one promotion per email address.

Redemption: Eligible users will receive an email with an Apple App Store offer code within fourteen (14) days of Dearlie's launch on the Apple App Store. Codes must be redeemed within thirty (30) days of receipt, subject to Apple App Store Offer Code terms and conditions.

Offer details: The promotion provides one (1) year of Dearlie+ access starting from the date of redemption. After the promotional year, unless canceled at least twenty-four (24) hours before the renewal date, the subscription automatically converts to the standard Dearlie+ Yearly plan at the then-current price (currently $24.00 per year, subject to change). Billing is charged to the Apple ID used for redemption in accordance with Apple App Store subscription terms.

Non-transferable: The promotion is tied to the Apple ID used for redemption and cannot be transferred, sold, or combined with other offers. No cash value. Not refundable.

Modifications: Dearlie Labs, LLC reserves the right to modify, extend, suspend, or terminate this promotion at any time with reasonable notice.

9. User Content

You retain ownership of any information you enter into Dearlie, including contact information, notes, gift ideas, events, and preferences. Dearlie Labs, LLC does not claim ownership of your content.

You are responsible for ensuring that you have the right to enter information about third parties (including friends, family, and contacts) into Dearlie, and that doing so complies with applicable law.

10. Affiliate Links

Dearlie shows product suggestions that may include affiliate links. If you make a purchase after tapping one of these links, Dearlie Labs, LLC may earn a commission at no extra cost to you. This helps fund the app's AI and infrastructure costs.

Affiliate disclosures are displayed on every suggestion card that contains an affiliate link, in accordance with FTC guidelines. Purchases on retailer websites are governed by those retailers' own terms and privacy practices.

11. Intellectual Property

Dearlie, its branding, design, source code, and content (excluding your user content) are the property of Dearlie Labs, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works of Dearlie except as permitted by applicable law.

12. Disclaimers

Dearlie is provided "as is" and "as available," without warranties of any kind, express or implied. Dearlie Labs, LLC does not warrant that:

Products purchased through affiliate links are sold by third-party retailers, not Dearlie Labs, LLC. Dearlie Labs, LLC is not responsible for the quality, safety, legality, availability, or delivery of any product purchased through a linked retailer.

You are responsible for reviewing any gift recommendation before making a purchase decision.

13. Limitation of Liability

To the maximum extent permitted by law, Dearlie Labs, LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Dearlie, even if advised of the possibility of such damages.

Dearlie Labs, LLC's total liability for any claim arising out of or related to these Terms or Dearlie will not exceed the amount you paid to Dearlie Labs, LLC in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100.00), whichever is greater.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or Dearlie will be resolved exclusively in the state courts of Pinellas County, Florida, or the United States District Court for the Middle District of Florida, and you consent to the jurisdiction of those courts.
